1. Who operates inRoads

inRoads is an independently developed and operated application.

The inRoads service is currently operated as a sole proprietorship based in Bengaluru, Karnataka, India.

For the purposes of these Terms, the operator is referred to as “inRoads”, “we”, “us”, or “our”.

inRoads is not incorporated as a company and is not a partnership or limited liability partnership. “inRoads” is the product and brand name under which the service is operated.

2. Acceptance of these Terms

These Terms form a legally binding agreement between you and the operator of inRoads.

You accept these Terms when you:

• download or install the inRoads application;
• join a ride;
• accept a ride invitation;
• access or use any feature of the Service;
• or otherwise access the inRoads website or Service.

Your use of the Service is also subject to our Privacy Policy, which explains how we collect, use, store, disclose, and otherwise process personal data.

If you use inRoads on behalf of another person or organisation, you represent that you have authority to accept these Terms on their behalf.

Electronic acceptance of these Terms is intended to constitute acceptance of an electronic agreement.

3. What inRoads is

inRoads is a group-ride coordination and situational-awareness tool.

Depending on the features available in your version of the application, inRoads may provide:

• shared live location;
• group ride coordination;
• ride invitations;
• group pings and status signals;
• shared destinations and stops;
• route visualisation;
• estimated arrival information;
• weather information;
• crash-detection functionality;
• group alerts;
• SOS-related functionality;
• notifications; and
• other coordination features introduced from time to time.

Features may differ by device, operating system, application version, location, network availability, or other technical circumstances.

4. What inRoads is NOT

inRoads is a coordination and information tool.

It is not:

• a navigation service;
• a transportation service;
• a ride organiser;
• a motorcycle instructor;
• a road-safety authority;
• an emergency-response service;
• an ambulance or medical-alert service;
• a law-enforcement service;
• a vehicle safety system;
• a crash-proofing system;
• a guaranteed location-tracking service;
• or a substitute for your own judgment and attention.

inRoads does not organise, supervise, lead, control, or manage motorcycle rides.

We do not select your route, determine your speed, supervise your riding, inspect your motorcycle, verify your licence, verify your insurance, or determine whether you are fit to ride.

Every rider remains solely responsible for their own decisions, conduct, safety, vehicle, passengers, and compliance with applicable laws.

5. Safety — your responsibility comes first

5.1 Never use inRoads while riding

Never operate or interact with inRoads while your vehicle is moving.

Do not:

• look at the application while riding;
• tap the screen while riding;
• type while riding;
• read messages while riding;
• change settings while riding;
• respond to pings while riding;
• attempt to navigate through the application while riding; or
• otherwise allow the application to distract you from operating your vehicle.

Only interact with inRoads when you are safely stopped and parked, before beginning your ride, or through a passenger who can safely operate the device.

Your attention must remain on the road.

No inRoads feature is worth compromising your safety or the safety of another person.

6. Your responsibility as a rider

You are solely responsible for:

• obeying traffic laws and road rules;
• maintaining a valid driving licence where required;
• maintaining a legally roadworthy vehicle;
• maintaining legally required insurance;
• wearing appropriate protective equipment;
• riding within your experience and ability;
• adapting to traffic, road, weather, visibility, and environmental conditions;
• determining whether a route is safe and legally permitted;
• determining whether you are physically and mentally capable of riding;
• avoiding distracted, reckless, impaired, or dangerous riding; and
• making all final decisions concerning your ride.

You must not treat information displayed by inRoads as an instruction to ride, accelerate, slow down, overtake, change lanes, take a particular road, or otherwise modify your riding behaviour.

7. Group rides are undertaken at your own risk

Motorcycling, driving, group riding, and travel involve inherent risks, including but not limited to:

• collision;
• falls;
• road hazards;
• adverse weather;
• mechanical failure;
• traffic;
• animals;
• pedestrians;
• poor road conditions;
• visibility issues;
• injury;
• disability;
• property damage; and
• death.

These risks exist regardless of whether you use inRoads.

By using inRoads in connection with a ride, you acknowledge these risks and voluntarily assume responsibility for your participation.

inRoads does not make a group ride safer merely because riders use the application.

8. Other riders and participants

inRoads may allow you to see or interact with other people participating in a ride.

You understand that inRoads does not independently verify:

• a rider's identity;
• age;
• driving licence;
• vehicle;
• insurance;
• riding experience;
• physical condition;
• sobriety;
• intentions;
• location;
• destination;
• behaviour; or
• compliance with traffic laws.

A person's presence on an inRoads ride does not constitute an endorsement, recommendation, verification, or guarantee by inRoads.

You are solely responsible for deciding whether, when, and how you interact with another rider.

You must never assume that another rider's displayed location, status, or availability is accurate.

9. Live location information

inRoads may display the approximate or current location of members of a ride.

Location information can be affected by:

• GPS limitations;
• device hardware;
• operating-system restrictions;
• battery-saving settings;
• permissions;
• poor satellite visibility;
• mobile-network availability;
• internet connectivity;
• device configuration;
• background execution restrictions;
• application state;
• inaccurate sensor data;
• server delays; and
• third-party infrastructure.

As a result, location information may be:

• inaccurate;
• incomplete;
• delayed;
• stale;
• unavailable; or
• different from the person's actual physical location.

Never use an inRoads location display as the sole basis for a safety-critical decision.

10. Routes, maps and estimated arrival times

inRoads may display route lines, distances, estimated arrival times, destinations, stops, or other geographical information.

Such information is provided for convenience only.

inRoads does not guarantee that:

• a route is safe;
• a route is legally permitted;
• a route is open;
• a road exists or remains accessible;
• a route is suitable for your motorcycle;
• a destination is accessible;
• an estimated arrival time is accurate; or
• geographical information is current.

You remain responsible for independently assessing road conditions and selecting a safe and lawful route.

11. Navigation applications

inRoads may allow or encourage you to open another navigation application.

Turn-by-turn navigation provided by another application is governed by that provider's own terms, policies, technology, and data.

inRoads does not control and is not responsible for:

• Apple Maps;
• Google Maps;
• Waze;
• or any other third-party navigation provider.

inRoads does not guarantee the accuracy, availability, safety, legality, or reliability of navigation instructions provided by third parties.

12. Weather information

Weather information displayed by inRoads may come from third-party weather providers or other external sources.

Weather information may be delayed, incomplete, inaccurate, or unavailable.

Weather can also change rapidly and may differ significantly between locations.

Never rely solely on inRoads weather information when making a safety-critical riding decision.

You are responsible for assessing actual weather and road conditions before and during your ride.

13. Crash detection

If available and enabled, inRoads may use device sensors and software algorithms to attempt to identify patterns that may indicate a crash.

Crash detection is an experimental/best-effort convenience feature and is not a guaranteed crash-detection system.

A real crash may not be detected.

A non-crash event may be incorrectly interpreted as a crash.

Crash detection may fail or behave differently because of:

• device hardware;
• device placement;
• mounting position;
• protective cases;
• sensor limitations;
• motorcycle characteristics;
• speed;
• impact direction;
• road conditions;
• software limitations;
• operating-system restrictions;
• battery status;
• network availability;
• permissions;
• background execution;
• device damage; or
• other circumstances.

Crash detection may therefore:

• fail to detect a crash;
• incorrectly identify an event as a crash;
• trigger a false alarm;
• trigger too late;
• trigger without sufficient information;
• fail to send an alert; or
• send an alert that is not received or noticed.

You must not rely on crash detection as your primary means of obtaining emergency assistance.

14. Crash alerts to your group

Where supported, if inRoads detects a possible crash and you do not cancel the alert process, the application may attempt to notify members of your inRoads group.

Such an alert:

• is not an emergency call;
• does not contact police;
• does not contact an ambulance;
• does not contact a hospital;
• does not contact government emergency services;
• does not guarantee that your group members will receive the alert;
• does not guarantee that anyone will see the alert;
• does not guarantee that anyone will respond; and
• does not guarantee that help will reach you.

Your group members may be offline, unavailable, distracted, outside network coverage, unable to help, or unaware of the alert.

15. Emergency situations

inRoads is not an emergency service.

In a genuine emergency, contact the appropriate emergency service directly using the emergency number applicable to your location.

For example, depending on your location, this may include 112, 911, 000, 999, or another applicable emergency number.

Do not wait for:

• crash detection;
• an SOS countdown;
• an inRoads notification;
• a group member;
• a location update; or
• any other inRoads feature

before contacting emergency services when emergency assistance is required.

You are responsible for knowing the appropriate emergency procedures and numbers applicable to your location.

16. SOS functionality

Where inRoads provides an SOS or emergency-related feature, that feature is intended only as an additional communication or coordination mechanism.

It is not a substitute for contacting emergency services directly.

We do not guarantee that an SOS signal will:

• be generated;
• be transmitted;
• reach its intended recipients;
• be displayed;
• be noticed;
• contain an accurate location;
• contain complete information; or
• result in assistance.

17. Mobile networks, devices and connectivity

The Service depends on devices, operating systems, GPS/location services, mobile networks, internet connectivity, servers, cloud infrastructure, and third-party services.

The Service may therefore become unavailable or degraded because of circumstances beyond our reasonable control.

You are responsible for:

• your device;
• battery level;
• mobile service;
• internet connectivity;
• location permissions;
• notification permissions;
• required operating-system permissions;
• compatible operating-system versions; and
• keeping the application reasonably up to date.

18. No accounts — device and ride access

inRoads does not require you to create an account. There is no sign-up, email, phone number, or password. When you first open the app it signs in anonymously so your device can communicate securely with our backend, and you choose a display name for each ride. This is described further in our Privacy Policy.

Because access to a ride is controlled by its invitation link, code, or token rather than by a password, you are responsible for your device and for how you share invitations. You must not:

• impersonate another person, including through your display name;
• share a ride's invitation link, code, or token in a way that gives access to people who should not have it;
• attempt to access, join, or read a ride you were not invited to;
• attempt to obtain another rider's information without authorisation; or
• interfere with another user's use of the Service.

You are responsible for activity carried out from your device to the extent permitted by applicable law. If you believe a ride invitation has been misused or your device has been compromised, stop the affected ride and contact us as soon as reasonably possible.

19. Ride invitations and ride access

inRoads may allow users to invite other people to a ride through links, codes, invitations, or other mechanisms.

You are responsible for the invitations you create or distribute.

You must not use invitations to:

• harass or threaten someone;
• impersonate another person;
• facilitate unlawful activity;
• intentionally mislead participants;
• gain unauthorised access to another person's information; or
• otherwise misuse the Service.

The creator of a ride does not become the legal organiser, supervisor, safety officer, or responsible authority for the ride merely by creating it in inRoads.

20. User content

Users may be able to submit or create content through inRoads, including:

• display names;
• ride names;
• group names;
• messages;
• pings;
• status information;
• destinations;
• stops;
• profile information; and
• other information or content supported by the Service.

You retain whatever rights you may have in content that you submit.

By submitting content to inRoads, you grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, transmit, display, process, and otherwise use that content only as reasonably necessary to operate, maintain, secure, improve, and provide the Service, subject to our Privacy Policy and applicable law.

You represent that you have the rights necessary to submit the content.

You must not submit content that:

• is unlawful;
• infringes another person's rights;
• is threatening or abusive;
• impersonates another person;
• contains malicious code;
• facilitates criminal activity;
• deliberately provides dangerous misinformation;
• exposes another person's private information without permission; or
• otherwise violates these Terms or applicable law.

21. Prohibited use

You must not use inRoads to:

• violate applicable law;
• endanger yourself or others;
• operate a vehicle while distracted;
• stalk, harass, threaten, or intimidate another person;
• impersonate another person;
• obtain unauthorised access to another rider's ride or information;
• collect information about users for unlawful purposes;
• interfere with the Service;
• introduce malware or malicious code;
• reverse engineer the Service except to the extent expressly permitted by applicable law;
• circumvent security or access controls;
• scrape or systematically extract Service data without permission;
• manipulate location information for fraudulent or harmful purposes;
• intentionally generate false emergency or crash alerts;
• abuse SOS or emergency-related functionality;
• use the Service to facilitate unlawful activities; or
• use the Service in any manner that could reasonably endanger another person.

22. Intellectual property

The Service, including its software, interface, visual design, graphics, logos, trademarks, branding, text, original content, and other materials, is owned by or licensed to the operator of inRoads and is protected by applicable intellectual-property laws.

Except as expressly permitted by these Terms or applicable law, you may not:

• copy;
• reproduce;
• modify;
• distribute;
• sell;
• lease;
• license;
• publish;
• reverse engineer;
• create derivative works from; or
• commercially exploit

any part of the Service without our prior written permission.

inRoads and associated branding are used as the product and brand identity of the Service.

Nothing in these Terms grants you ownership of the inRoads name, branding, software, or other intellectual property.

23. Third-party services

inRoads may rely on third-party services and infrastructure, including services for:

• maps;
• geographical data;
• navigation;
• weather;
• authentication;
• notifications;
• cloud infrastructure;
• analytics;
• communications;
• application distribution; and
• other technical functions.

Third-party services may have their own terms and privacy policies.

We do not control third-party services and are not responsible for their availability, accuracy, security, content, policies, or performance.

If you use a third-party service through or alongside inRoads, your use of that service may be governed by the third party's own terms.

24. Apple App Store and Google Play

inRoads may be distributed through the Apple App Store and Google Play.

Your use of those stores is subject to the applicable store's terms and policies.

Apple and Google are not parties to these Terms merely because the application is distributed through their platforms.

inRoads is independently operated and is not affiliated with, endorsed by, or sponsored by Apple, Google, or any third-party mapping, navigation, weather, or infrastructure provider unless expressly stated otherwise.

25. Privacy and personal data

Your use of inRoads involves the processing of information, which may include personal data and location-related information.

Our collection and processing of personal data is described in the inRoads Privacy Policy.

The Privacy Policy forms part of the overall terms governing your use of the Service and should be read together with these Terms.

We intend to process personal data in accordance with applicable Indian law and other applicable data-protection requirements.

You should not provide personal information belonging to another person unless you have an appropriate legal basis or permission to do so.

For information about how personal data is handled, please refer to the Privacy Policy.

26. Children and age requirements

You must be legally capable of entering into a binding agreement under the laws applicable to you in order to accept these Terms.

You must also satisfy any minimum age or licensing requirements applicable to operating the vehicle you use.

inRoads is not intended to be used as a vehicle-riding service by children.

Where applicable law imposes additional requirements relating to children or parental consent, those requirements will apply.

27. Service availability

We aim to keep inRoads available and functional, but we do not guarantee uninterrupted availability.

The Service may be:

• temporarily unavailable;
• degraded;
• delayed;
• modified;
• suspended;
• discontinued;
• affected by maintenance;
• affected by network failures;
• affected by third-party outages; or
• affected by circumstances outside our reasonable control.

We may add, modify, remove, suspend, or discontinue features at any time.

28. No warranties

To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available.”

We do not warrant that the Service will:

• always be available;
• be uninterrupted;
• be error-free;
• be secure;
• be accurate;
• be complete;
• be timely;
• meet your particular requirements;
• detect every crash;
• transmit every alert;
• provide accurate location information;
• provide accurate weather information;
• provide accurate route information;
• provide accurate arrival estimates; or
• produce any particular result.

We expressly disclaim warranties to the maximum extent permitted by applicable law, including implied warranties of merchantability, fitness for a particular purpose, accuracy, availability, and non-infringement.

Nothing in these Terms excludes any warranty or legal right that cannot lawfully be excluded.

29. Limitation of liability

To the maximum extent permitted by applicable law, the operator of inRoads shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, business opportunity, or anticipated savings arising from or related to your use of, or inability to use, the Service.

To the maximum extent permitted by applicable law, we are also not responsible for loss, injury, damage, or harm arising from:

• your riding or driving;
• participation in a group ride;
• the conduct of another rider;
• road or weather conditions;
• inaccurate or unavailable location information;
• inaccurate routes or estimates;
• failure of crash detection;
• false crash detection;
• failure or delay of an SOS or group alert;
• failure to receive an alert;
• failure of a group member to respond;
• mobile-network or internet failures;
• device failures;
• third-party service failures;
• unauthorised access;
• or your reliance on information provided by the Service.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law, including applicable liability relating to death or personal injury where such exclusion or limitation is prohibited.

30. Liability cap

To the maximum extent permitted by applicable law, the total aggregate liability of the operator of inRoads for claims arising out of or relating to the Service shall not exceed the greater of:

1. the amount you actually paid to inRoads for the Service during the twelve months immediately preceding the event giving rise to the claim; or
2. ₹1,000 (Indian Rupees One Thousand).

This limitation applies only to the extent permitted by applicable law and does not limit liability that cannot legally be limited.

31. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless the operator of inRoads from claims, liabilities, damages, losses, costs, and reasonable legal expenses arising out of or connected with:

• your violation of these Terms;
• your unlawful use of the Service;
• your conduct while riding or participating in a ride;
• content you submit;
• your violation of another person's rights; or
• your violation of applicable law.

This section applies only to the extent permitted by applicable law.

32. Suspension and termination

We may suspend or terminate your access to the Service where reasonably necessary, including if:

• you materially violate these Terms;
• you misuse the Service;
• you abuse crash-detection or emergency-related functionality;
• you engage in unlawful conduct;
• you threaten or harass other users;
• you attempt to compromise the Service;
• your activity creates a safety or security risk; or
• we are required to do so by law.

We may also discontinue the Service or any feature at any time.

Where reasonably practicable, we may provide notice before suspension or termination, but we may act immediately where necessary to protect users, the Service, or other persons.

Termination does not affect provisions that by their nature should continue after termination.

33. Feedback

If you provide suggestions, ideas, recommendations, bug reports, or other feedback regarding inRoads, you agree that we may use that feedback without restriction or compensation to you, including to improve or develop the Service.

You retain ownership of any underlying intellectual property you may have in your feedback, but grant us a perpetual, worldwide, royalty-free right to use the feedback for the operation and development of inRoads.

34. Changes to these Terms

We may update these Terms from time to time.

When we make changes, we may update the “Last updated” date at the beginning of this page.

For material changes, we may provide additional notice where appropriate, including through the application, website, or other reasonable means.

Your continued use of inRoads after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

If you do not agree with the revised Terms, you must stop using the Service.

35. Governing law

These Terms are governed by the laws of India, without regard to conflict-of-law principles.

Subject to applicable consumer-protection and other mandatory laws, disputes arising out of or relating to these Terms or the Service shall be subject to the jurisdiction of the courts having jurisdiction in Bengaluru, Karnataka, India.

Nothing in this clause prevents you from exercising any mandatory rights or remedies available to you under applicable law.

36. Consumer rights

Nothing in these Terms is intended to exclude, restrict, or override any rights or remedies that cannot legally be excluded, restricted, or waived under applicable Indian law.

Where applicable, statutory consumer protections and other mandatory legal rights continue to apply.

The Service and these Terms are intended to operate subject to applicable Indian consumer-protection laws and regulations.

37. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be interpreted or modified to the minimum extent necessary to make it enforceable where legally permitted.

If it cannot be made enforceable, it shall be severed from these Terms without affecting the remaining provisions.

38. No waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision later.

39. Entire agreement

These Terms, together with the Privacy Policy and any additional terms expressly incorporated by reference, constitute the agreement between you and inRoads concerning your use of the Service.

They supersede prior representations or understandings concerning the same subject matter to the extent permitted by law.

40. Assignment

You may not transfer or assign your rights or obligations under these Terms without our prior written consent, except where such restriction is prohibited by applicable law.

We may transfer or assign our rights and obligations in connection with a restructuring, transfer of the Service, sale of assets, or other lawful business transaction, subject to applicable law.
